Community Ally and its related sites; Condo Ally, HOA Ally, Townhome Ally, Block Club Ally, Neighborhood Ally, PTA Ally (Collectively referred to as “Community Ally Sites” is an online platform providing tools to help community organizations and citizens improve their community. Condo Ally, HOA Ally, and Townhome Ally provide an online platform for associations to transparently perform management duties in a way that is accessible to all members of the association, and provides assessment payments online through a third party payment provider. Community Ally Sites can also be used to connect with professionals for work on homes, buildings, maintenance and care.

Your use of https://www.communityally.org/ and Community Ally Sites is subject to Community Ally's Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of Community Ally's data collection practices.

We reserve the right to change the terms and conditions under which the Site is offered for any reason. The most current version of the terms and conditions will supersede all previous versions. We encourage you to periodically review the terms and conditions to stay informed of our updates.

1. Agreement between User and Community Ally Sites

Our website consists of several different web pages operated by Community Ally Sites. When you use our sites you are entering into a legal agreement and agree to comply with all the terms and conditions set forth herein. These terms and conditions apply to https://www.communityally.org/ and all Community Ally Sites. The terms and conditions dictate how the site is to be used. Your use of the Site constitutes your agreement to all such terms and conditions.

Community Ally Sites acts as a portal for community organizations to enable them to perform their management duties and connect with other organizations and professionals. Unless otherwise stated by Community Ally, Community Ally makes no representations or warranties about the honesty or reliability of any user, organization, or professional. You agree to hold Community Ally harmless for any liability relating to the acts or omissions of any User.

Simply Put:

Community Ally and its sister-sites are webpages being used to connect HOAs and Community Organizations. Users are responsible for what they post, and Community Ally is not responsible for verifying information or monitoring posts made by users.

2. Community Member Obligations

By using the Community Ally Sites, all members agree that they are responsible for maintaining the confidentiality of their account and password and for restricting access to their computer. Members also agree to accept responsibility for all communications and other activities that occur under their account or password. Members will not assign or otherwise transfer their account to any other person or entity. Members will not create more than one account. Members agree that Community Ally and Community Ally Sites are not responsible for any third party access to their account resulting from theft or misappropriation of the account.

By using the Site, you agree to allow other members to contact you through the Site.

By using the Site, users acknowledge they are over the age of eighteen (18), and if you are signing up for this site on behalf of an organization, you are authorized by that organization to bind it to this Agreement. Users further acknowledge and state that they are not in violation of any embargoes, export controls, or other laws of the United States or other countries having jurisdiction over this Agreement, Community Ally, and yourself. Users must provide Community Ally Sites with personal, payment, or other information deemed necessary to provide the User with applicable services. Users must report all income and contracts as required to the Internal Revenue Service and any other governmental entity that may require it.

Community Ally Sites and our associates reserve the right to refuse or cancel service, terminate accounts, or remove or edit content solely at our discretion. Community Ally Sites is not responsible for any record keeping or reporting any tax or income information to the relevant governmental entity.

Simply Put:

You are responsible for keeping your login information private and not using the site for illegal purposes. Other members can contact you through the site (i.e. your HOA may post information regarding maintenance in your building) and if you use the site to make payments you agree to submit payment information. Community Ally Sites are not responsible for reporting any tax information.

3. Termination/Access Restriction

Community Ally Sites reserves the right to terminate your access to the Site and the related services or any portion thereof at any time, without notice and solely at our discretion. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Illinois and you hereby consent to the exclusive jurisdiction that does not give effect to all provisions of these terms and conditions, including, without limitation, this section.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Community Ally Sites as a result of this agreement or use of the Site. Community Ally Site's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Community Ally's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by Community Ally Sites with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Community Ally Sites with respect to the Site(s) and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Community Ally Sites with respect to the Site(s). A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

Simply Put:

Community Ally Sites can terminate a user’s access to the site without notification if the user is using the message boards to harass or post inappropriate comments, or it’s found that the user is violating any applicable laws.

4. Electronic Communications

Visiting the Site or sending emails to Community Ally constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures and other communications that Community Ally provides to you electronically, via email and on the Site, satisfy any legal requirement that such communications be in writing.

Simply Put:

Community Ally Sites may communicate with users via email. Community Ally Sites do not use marketing emails, but may send notifications or updates via email.

5. Standards of Conduct

Community Ally Sites has certain standards of conduct which govern the behavior of members both on the Site and at our events. Community Ally Sites are committed to providing an environment free of any form of unlawful harassment or discrimination. By using the Site or attending one of our events, you agree to follow our Standards of Conduct. The following standards are not comprehensive. They also do not limit our rights to impose discipline for any other conduct we deem inappropriate.

When using the Site, you agree to not: defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others; falsify yourself or your company; provide misleading, false and/or dishonest information to other members; engage in threatening or violent behavior; use vulgar or abusive language; engage in disorderly conduct that may endanger others or damage property; engage in unprofessional conduct or improper conduct for the workplace; engage in sexual or other illegal harassment or discrimination (online or at events); harvest or otherwise collect information about others, including e-mail addresses, without their consent; violate any applicable laws or regulations.

Conduct that violates our standards will not be tolerated. If you violate any of these standards you will be subject to disciplinary action, up to and including termination of your access to Community Ally Sites. Should a customer, vendor, or other person with whom Community Ally Sites does business engage in such conduct, we will take swift corrective action.

Community Ally Sites reserves the right to disclose any information as necessary to satisfy any applicable law, regulation, legal process, or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, at our sole discretion.

Always use caution when giving out any personally identifying information about yourself at any event. Community Ally Sites does not control or endorse the information received at any event and, therefore, we specifically disclaim any liability with regard to the events and any actions resulting from your participation in events. Managers and hosts are not authorized Community Ally Sites spokespersons, and their views do not necessarily reflect those of Community Ally Sites.

Simply Put:

Users are responsible for using the site appropriately, or if attending community events behaving appropriately. Users cannot harass or insult other users using the site, or at community events. If users violate these standards, Community Ally Sites can terminate their access. When attending community events, do not share user information. Users can post content or say things during events that are not reflective of Community Ally Sites’ opinions.

6. Payment and Refunds

Payments can be made by means of credit card and e-check through a third party payment provider. Community Ally cannot process any requests for refunds. Requests for refunds must be made directly to the third party payment provider. Should you have any questions regarding the identity of the third party provider servicing Community Ally, please contact hello@CommunityAlly.org .

Community Ally Sites uses a third-party payment processor, so if you need to request a refund, you should contact the payment processor directly.

7. Links to third party sites/Third party services

This Site may contain links to other websites. These websites are not under the control of Community Ally Sites and we are not responsible for their contents. This includes without limitation any link contained in a third party website, or any changes or updates to a third party website. We provide these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Community Ally Sites or any affiliation with the third party website’s operators.

Certain services made available via the Site are delivered by third party websites and organizations. By using any product, service, or functionality originating from the https://www.communityally.org/ or associated domains, you hereby acknowledge and consent that we may share such information and data with any third party with whom we have a contractual relationship to provide the requested product, service, or functionality on behalf of the Site’s users and customers. If you do not want information about you to be shared in this manner, do not use this feature.

Simply Put:

Community Ally Sites has links to third party sites, such as their payment processors. These sites have their own terms and conditions/privacy policies and are not under the control of Community Ally Sites.

8. Use of Communication Services

The Site may contain bulletin board services, chat areas, news groups, forums, personal web pages, and/or various communities designed to facilitate communication with other members, the public at large, or with a specific group. By using the Site, you agree to post, send, and receive messages and material that are proper and related to the subject or group to which you are posting.

Community Ally Sites strictly prohibits spamming other members. Spamming is defined as sending the same message indiscriminately to a large number of recipients. If a member is reported X number of times they will receive a warning. If the spamming continues, the member will be suspended from accessing the Site or any of our events for one (1) month. If the member does not cease spamming after the month long suspension, their membership will be terminated.

While Community Ally Sites is under no obligation to monitor our members’ communications, we reserve the right to review any communications posted to the Site and to remove any materials at our sole discretion. We reserve the right to terminate your ability to communicate with any or all of our members at any time without notice at our sole discretion.

Always use caution when giving out any personally identifying information about yourself or your children when using any of the various communications tools offered on the Site. Community Ally Sites do not control, endorse the content, messages, or information shared between members and, therefore, we specifically disclaim any liability with regard to member to member communications and any actions resulting from your communications with other members.

Materials uploaded to the Site may be subjected to limitations on usage, reproduction, and/or dissemination. You are responsible for adhering to such limitations if you upload the materials.

Simply Put:

When users use messaging services or message boards, they agree to use the site only for intended purposes, and agree not to spam other users, or post inappropriate content. Community Ally Sites do not monitor all content posted, but reserve the right to delete any offensive posts without notice. When you post on a message board that information can be seen by other users, so use caution when posting personal information about yourself.

9. Member Generated Content

Community Ally Sites does not, and will not, claim ownership of any content posted, uploaded, input, or submitted to the Site(s) by members. However, by posting, uploading, inputting, or submitting content to the Site, you are granting Community Ally Sites and certain third party companies affiliated with us permission to use member generated content in connection with the operation of their Internet businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate, and reformat member generated content; and to publish your name in connection with any content generated by you.

Community Ally Sites will not provide any compensation with respect to the use of member generated content. We are under no obligation to post or use any member generated content provided and may remove any member generated content at any time at our sole discretion. By posting, uploading, inputting, or submitting your content you are effectively stating that you own or otherwise control all of the rights to any content generated by you as described in this section including, without limitation, all the rights necessary for you to post, upload, input, or submit your content.

Community Ally Sites doesn’t claim any ownership of posts by users, but when you post on our sites you agree that Community Ally Sites can share those posts publicly. Community Ally Sites can also remove posts without notice if the post is offensive.

10. Consent and Release for Use of Likeness

By using this site and enabling your profile, you grant Community Ally, its agents, employees, licensees, and successors in interest (the "Released Party") all ownership rights and the absolute and irrevocable right and permission to copyright, use and publish the photographed likeness of you and/or your organization (the "Likeness") that has been (or is being) obtained pursuant to this Consent and Release. The image may be copyrighted, used, and/or published individually or in conjunction with other photography or video works, and in any medium (including without limitation, print publications, public broadcast, CD-ROM format) and for any lawful purpose (including without limitation, trade, exhibition, illustration, promotion, publicity, advertising, and electronic publication).

Members waive any right to inspect or approve our use of any images containing your likeness, or the advertising copy or printed matter that may be used in connection with the use and/or publication of any images containing your likeness. You release Community Ally Sites from any and all claims of libel, slander, invasion of property, infringement of copyright or right of publicity, or any other claim related to an images containing your likeness. This release includes without limitation any claim related to blurring, distortion, alteration, optical illusion, digital alteration, use in composite form, whether intentional or otherwise, or use of a fictitious name, that may occur or be produced in the processing or publication of any images containing your likeness.

By creating a profile, you warrant that you have read this Consent and Release prior to creating a profile, that you understand it, and that you freely enter into this Consent and Release.

Simply Put:

Users may upload profile photos which Community Ally Sites can use in directories, message boards, or other pages on Community Ally Sites. Community Ally Sites may also post photos from events, and users waive their right to approve images before being posted.

11. No Unlawful or Prohibited Use/Intellectual Property

Users are granted a non-exclusive, non-transferable, revocable license to access and use www.communityally.org strictly in accordance with these terms and conditions. As a condition of your use of the Site, you warrant to Community Ally that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. You may not use the Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site.

All content included as part of the Service, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of Community Ally Sites or its suppliers and protected by all applicable copyright, intellectual property laws, and proprietary rights. You agree to observe and comply with all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes to that content.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site. Community Ally Sites content is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for purposes permitted by these Terms, and will make no other use of the content without the express written permission of Community Ally Sites and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of Community Ally Sites or our licensors except as expressly authorized by these Terms.

When Users use the site they cannot use it for any illegal purposes or steal content from the site. Community Ally Sites logos and content belong exclusively to Community Ally Sites, and users are not allowed to use these for any other purposes.

12. Trademark

"Community Ally" is a trademark used by us, Taylor Clark Software, LLC, to uniquely identify our Site, Service, and business. You agree not to use this phrase anywhere without our prior written consent. Additionally, you agree not to use our trade dress, or copy the look and feel of our website or its design, without our prior written consent. You agree that this paragraph goes beyond the governing law on intellectual property law, and includes prohibitions on any competition that violates the provisions of this paragraph, including starting your own competing business as it may cause confusion to the consuming public as to the source of the advertised services.

Community Ally Sites reserves the right to revoke their consent your use of our intellectual property, or any other permission granted to you under this Agreement, at any time. You agree to take immediate action to remove any usage of our intellectual property in the event that Community Ally Sites revokes consent.

“Community Ally” is a legally protected trademark that can only be used with written consent. Users agree not to use Community Ally Sites’ content, or imitate their website

13. International Users

Community Ally Sites and their services are controlled, operated and administered by Community Ally Sites from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use Community Ally Sites’s Services accessed through www.commumityally.org in any country or in any manner prohibited by any applicable laws, restrictions or regulations.

If a user is using Community Ally Sites from a country outside of the USA, they are responsible for complying with all local laws and regulations.

14. Representations & Warranties

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN COMMUNITY ALLY SITES AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE SITE AT ANY TIME.

COMMUNITY ALLY SITES AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. COMMUNITY ALLY SITES AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMMUNITY ALLY SITES AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, WITH THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF COMMUNITY ALLY SITES OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

For Jurisdictions that do not allow us to limit our liability: Notwithstanding any provision of these Terms, if your jurisdiction has provisions specific to waiver or liability that conflict with the above then our liability is limited to the smallest extent possible by law. Specifically, in those jurisdictions not allowed, we do not disclaim liability for: (a) death or personal injury caused by our negligence or that of any of our officers, employees or agents; or (b) fraudulent misrepresentation; or (c) any liability which it is not lawful to exclude either now or in the future.

IF YOU ARE A RESIDENT OF A JURISDICTION THAT REQUIRES A SPECIFIC STATEMENT REGARDING RELEASE THEN THE FOLLOWING APPLIES. FOR EXAMPLE, CALIFORNIA RESIDENTS MUST, AS A CONDITION OF THIS AGREEMENT, WAIVE THE APPLICABILITY OF CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES, "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR." YOU HEREBY WAIVE THIS SECTION OF THE CALIFORNIA CIVIL CODE. YOU HEREBY WAIVE ANY SIMILAR PROVISION IN LAW, REGULATION, OR CODE THAT HAS THE SAME INTENT OR EFFECT AS THE AFOREMENTIONED RELEASE.

Users waive any liability that Community Ally may have resulting from inaccuracies or disruptions to service.

15. Class Action Waiver

Any arbitration under these Terms and Conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and Employer agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

Users waive the option to bring any class action lawsuits against Community Ally Sites.

16. Indemnity

You agree to indemnify, defend and hold harmless Community Ally Sites, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Community Ally Sites reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Community Ally Sites in asserting any available defenses.

Simply Put:

Users use the Community Ally Sites at their own risk, and cannot hold Community Ally Sites liable for any restriction in access or posts if user violates the terms and conditions of the site.

17. Force Majeure

You agree that we are not responsible to you for anything that we may otherwise be responsible for, if it is the result of events beyond our control, including, but not limited to, acts of God, war, insurrection, riots, terrorism, crime, labor shortages (including lawful and unlawful strikes), embargoes, postal disruption, communication disruption, unavailability of payment processors, failure or shortage of infrastructure, shortage of materials, or any other event beyond our control.

Simply Put:

Community Ally Sites are not responsible for anything outside their control, such as extreme weather, internet outages, service disruptions, etc.

18. Severability

In the event that a provision of this Agreement is found to be unlawful, conflicting with another provision of the Agreement, or otherwise unenforceable, the Agreement will remain in force as though it had been entered into without that unenforceable provision being included in it.

If two or more provisions of this Agreement are deemed to conflict with each other's operation, Community Ally Sites shall have the sole right to elect which provision remains in force.

Simply Put:

If for any reason one portion of the terms and conditions is found to be unenforceable, the remaining terms are still enforceable.

19. Assignment of Rights

You may not assign your rights and/or obligations under this Agreement to any other party without our prior written consent. We may assign our rights and/or obligations under this Agreement to any other party at our discretion.

This agreement is between the user and Community Ally sites, and not any other parties.

20. Stripe Payment Processor

In order to use the payment functionality of our application, you can open an account provided by our payment provider, which is currently Stripe, but has included Dwolla, PayPal, Forte Payments, and WePay in the past. You must accept their Terms of Service and Privacy Policy. Any funds held in the Stripe account are held by Stripe's financial institution partners as set out in the Terms of Service. You authorize us to collect and share with Stripe your personal information including full name, date of birth, social security number, physical address, email address and financial information, and you are responsible for the accuracy and completeness of that data. You expressly authorize our service provider, Stripe, Inc. to originate credit transfers to/from your financial institution account. You authorize us to collect and share with Stripe your personal information including full name, email address and financial information, and you are responsible for the accuracy and completeness of that data.

If User uses Stripe for payment processing, they must review and accept Stripe’s terms or service and privacy policy. Users using Stripe for payments are allowing Stripe to collect their payment information, which is governed by Stripe’s privacy policy.
